3.1. Company Incorporation and Support

Key Information:

  • The most common legal structures for foreign investors in Mongolia are Limited Liability Companies (LLCs) and Representative Offices
  • Registration of a foreign-invested company generally takes approximately two weeks from submission of all required documents

  • Bank Account Opening Services

We assist in opening bank accounts in any of Mongolia’s major banks, for both local and foreign currency transactions.

Important Notes:

  • The presence of the account holder is typically required, but the process can be completed via a Power of Attorney (PoA)
  • All required documents must be notarized and apostilled
  • If we are handling your company’s incorporation, bank account opening is included in the service package

  • Legal Address Support (Physical or Virtual)

A legal address is mandatory for the registration of a company or representative office.

Options include:

  • A rented office address
  • The residence of a foreign CEO or company director

If the investor does not intend to rent office space or accommodation, we offer solutions for obtaining a virtual legal address for additional fee.


Key Considerations for Registering a Limited Liability Company (LLC) in Mongolia

  • Minimum of one shareholder (individual or legal entity)
  • At least one director, who must be a natural person
  • If a foreign national is appointed as CEO, they must obtain a residence permit; otherwise, a Mongolian resident must be appointed
  • Minimum share capital is USD 100,000
  • It is advisable not to use “Mongolia” or “Ulaanbaatar” in the company name. Multiple name options may be submitted for approval
  • Required documents include:
  • Shareholder and Ultimate Beneficial Owner (UBO) details
  • Description of business activities
  • Selected banking information
  • All documents must be translated into Mongolian, notarized, and apostilled
  • The company may be registered without the founder’s physical presence, via Power of Attorney

Key Considerations for Registering a Representative Office in Mongolia

  • A Representative Office cannot engage in commercial activity; it may only represent the parent company’s interests
  • Representative offices are not equivalent to branches (branch registration is rarely practiced in Mongolia)
  • No minimum share capital is required
  • Required documents include:
  • Parent company’s founding documents
  • Bank selection and intended account types
  • All documents must be translated into Mongolian, notarized, and apostilled
  • Registration may be completed via Power of Attorney, without the direct participation of the parent company’s representatives
